Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Simple, LLC, an Arizona limited liability company (“we” or “us”), governing your use of the authenticated NTHSTR application and related web, PWA, shortcut, and native surfaces (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be able to form a binding contract and be at least 13 years old, or the minimum age required where you live. The current account path uses an email address and password through NTHSTR's authentication provider; beta admission may also require a valid, single-use invitation. You are responsible for protecting your credentials and for activity through your account. Report suspected unauthorized use to legal@simplellc.com.
2. Your content
You keep ownership of the tasks, appointments, projects, goals, habits, notes, captures, uploaded sources, feedback, preferences, and other content you submit (“Your Content”). You grant us only the limited license needed to host, store, secure, transmit, process, back up, and display Your Content so we can operate the Service for you. If you deliberately invoke an activated external feature, that license includes sending the minimum content needed to the provider disclosed in the Privacy Policy.
We do not sell Your Content. You are responsible for Your Content and for having the rights needed to place it in the Service.
3. Acceptable use
You agree not to:
- Break the law or infringe another person's rights using the Service.
- Upload malware, probe or bypass security, or disrupt the Service or its infrastructure.
- Access another user's account or a workspace you are not authorized to use.
- Reverse engineer or resell the Service, except where that restriction is prohibited by law.
- Use the Service to create or distribute unlawful, harmful, or abusive content.
- Evade rate limits or place an unreasonable load on the Service.
4. Workspaces and sharing
Content is organized into workspaces. If you invite someone to a workspace or accept an invitation, authorized members may see its content according to their role. Do not place content in a shared workspace unless it is appropriate for the people who can access it.
5. AI-assisted and automated features
Some code-present features can propose structure, summaries, actions, or answers. External AI provider paths are default-off unless separately activated. When available, they run only through the feature you invoke, and proposals remain subject to your review. AI output can be wrong, incomplete, or misleading. You are responsible for reviewing it before relying on it; it is not legal, financial, medical, or other professional advice.
6. Beta and pre-release access
Beta, Preview, TestFlight, or other pre-release access is provided for evaluation. Features may change, fail, or be withdrawn. Keep independent copies of anything you cannot afford to lose. A public waitlist request is governed by the separate Beta intake terms and does not itself create an account, grant access, send an invitation, or create a paid offer.
7. Paid services are conditional
Stripe billing code is present but unconfigured and fail-closed in the current release. No price or paid offer is established by these Terms. If paid services are activated later, the checkout will disclose the applicable price, renewal, cancellation, and refund terms before purchase, and this policy set must remain aligned with that activation.
8. Privacy and security
Our Privacy Policy describes the data handled by the Service, the evidence-backed provider paths, and your choices. You must not submit secrets or sensitive information that are unnecessary for your intended use.
9. Our intellectual property
The Service, including its software, design, and the NTHSTR name and marks, is owned by Simple, LLC and its licensors. These Terms grant only the limited right to use the Service as permitted here.
10. Suspension and termination
You may stop using the Service at any time and may request deletion as described in the Privacy Policy. We may suspend or terminate access if you materially violate these Terms, if required by law, or when reasonably necessary to protect users or the Service. Provisions that by their nature should survive—including ownership, disclaimers, limits of liability, and indemnification—survive termination.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or suitable for every purpose.
12. Limitation of liability
To the maximum extent permitted by law, Simple, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total liability for a claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim or US $100.
Some jurisdictions do not permit certain limitations. Nothing here limits liability that applicable law does not allow us to limit.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold Simple, LLC harmless from claims arising from Your Content or your violation of these Terms or applicable law.
14. Changes
We may update these Terms. We will revise the “Last updated” date and provide additional notice for material changes when required. Continued use after updated Terms take effect means you accept them.
15. Governing law
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-laws rules. You and Simple, LLC agree that the state and federal courts located in Arizona have exclusive jurisdiction, except that either party may seek injunctive relief in a court of competent jurisdiction. Mandatory consumer protections where you live remain unaffected.
